Purchase Agreement and Return Policy
Terms: Invoices are due and payable in accordance with the terms stated on the front of this invoice.
Late Payment: An interest charge of 1.5% per month will be added to past due accounts, which is an annual rate of 18%.
Title: Title to any and all goods or materials hereafter purchased shall remain with USA Systems until the full purchase price has been paid.
ALL SALES ARE FINAL: All sales are final. USA Systems will not refund money, exchange only.
Bad Checks & COD: A service charge of $20.00 will be applied to each returned check. Accounts 80 days old will be placed on COD. Legal action will be taken after an account is 75 days old.
Delivery: Unless otherwise noted, delivery will be made EX WORKS USA Systems. USA Systems is not responsible for any delay due by common carriers.
Service & Support: If you have any problems with a product you have purchased from USA Systems, we urge you to contact our technical support staff before deciding to return the product. We are here to help you and we will do so in every way possible.
Return Merchandise Authorization (R.M.A.): No returned goods will be accepted without R.M.A.# and freight charges must be prepaid. We must receive your returned goods within 7 days from the day the R.M.A.# was issued, or the R.M.A.# will be automatically cancelled. All RMA return must be received at our location by expire date. International customers need to pay two ways freight charge.
Handling/Restocking Charge: A 20% handling or restocking charge will be made on all goods returned unless due to error caused by USA Systems. Freight/Misc. charges are not refundable.
Limited Warranty: All products delivered by USA Systems are warranted for one year. Different products has its extended original manufactures warranty based on the manufactures policy. In this period USA Systems warranties this product to be free from defects in material and workmanship under normal use and service. (If USA Systems does not have the item in stock at that time, we reserve the right to keep the defective merchandise from one to sixty days for repair or exchange.) This limited warranty does not cover products losses or damage that may occur as a result of shipping or improper installation of maintenance, misuse, neglect, or improper environment. Any repair modification, adjustment, or installation of options or parts by anyone other than a USA Systems authorized service center excessive or inadequate electrical power surges, or other irregularities.
Limitation of Liability: USA Systems will not be responsible for consequential damage to the system or its components caused by either internal or external equipment, shorted connections of components not installed or obtained from keyboard keys due to physical abuse or excessive use, or liquids, or chemicals spilled upon or inside the system, including oxidation or corrosion due to salt air. Our liability shall be limited to the invoice value of the materials.
Manufacturers Warranties: USA Systems will assist dealers in the repair or return of products covered under the warranty upon request. USA Systems in no way claims responsibility for these products or their warranties.
Failure to Pay or Insolvency: Failure by customer to pay any part of the purchase price when due or in the event that proceedings in bankruptcy, receivership, or insolvency are instituted by or against customer or his property, USA Systems may, as its option cause the entire unpaid balance to become due and immediately payable. Customer hereby expresses/waives any right to action which may accrue by reason of the entry for taking possession of or the selling of said materials and agrees to pay all costs incurred with respect there to including service charges and reasonable attorneys fees and court costs. This purchase agreement shall be governed by the laws of the State of the Division of USA Systems in which this credit is extended.
Entire Agreement: This Agreement covers all materials which customer may hereafter acquire at anytime from USA Systems. This contract constitutes the entire agreement with USA Systems. No waivers or modifications shall be valid unless the same are in written and executed by the parties hereto. This contract shall apply and accrue to the benefit or and be binding upon the heirs, executors, administrators, successors and assigns of the respective parties. If RMA is not able to be repaired or replaced, we will provide two options, the first is exchange the equivalent products, and the second is credit back base on market price with depreciation. |
